only difference between the 302 and 351w is deck height(which results in wider intake spacing as well) 8.2" vs 9.48/9.5". and wikipedia says only a 25lb dry weight difference between the 2

lots of internal differences, main & rod bearings, crank to cam center(timing set), rod length, oil pump drive 1/4" vs 5/16"
and the oil pan hangs lower on the 351W due to the longer stroke, so the engine needs more crossmember clearance than a 302
